TECHSHAN-IMS Terms of Service
Effective Date: 2 October 2026 · TECHSHAN (TECHSHAN-IMS)
Last Updated: October 2, 2026
These Terms of Service govern access to and use of TECHSHAN-IMS, a multi-tenant business platform providing inventory management, point of sale, accounting and tax, purchasing, workforce and attendance management, an online storefront, and a marketplace, delivered through web, desktop, and mobile applications and a REST API (the "Service").
These Terms form a binding contract. If you are accepting on behalf of an organization, you confirm that you are authorised to bind it, and "you" means that organization.
In these documents, "TECHSHAN", "we", "us" and "our" mean the operator of TECHSHAN-IMS identified under "Who operates this service" on this page, which gives the operator's name, status and contact details.
1. Acceptance and Structure of the Agreement
By registering for, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.
The agreement between us consists of these Terms, the Privacy Policy, the Acceptable Use Policy (/acceptable-use), the Copyright & Content Policy (/copyright), the Refund & Cancellation Policy (/refund-policy), the data processing terms in Section 13, and any order form or written commercial agreement signed with TECHSHAN. Where a signed commercial agreement conflicts with these Terms, that agreement prevails.
When you register, and whenever you accept a revised version of these Terms or the Privacy Policy, we record which version you accepted, when, and from where, so that either of us can show what was agreed.
2. Definitions
- Customer: the organization subscribing to the Service.
- Authorized User: an individual the Customer permits to access its workspace.
- Customer Data: all records the Customer or its Authorized Users submit to the Service, including information about third parties such as staff, suppliers, and shoppers.
- Shopper: a member of the public purchasing from a Customer through a storefront or marketplace operated on the Service.
- Tenant: the isolated workspace allocated to a Customer.
3. Eligibility and Authority
The Service is offered to organizations and to individuals acting in a business capacity. It is not offered to consumers for personal use, and it is not directed at children.
The person who registers a workspace must be at least 18, or the age of majority where they live if that is higher, and authorised to act for the business; registration asks them to confirm this and records the confirmation. Authorized Users must be old enough to be lawfully employed and to consent to digital services in their jurisdiction — a threshold that varies and is 16 in several EU member states and 18 in India. The Customer is responsible for ensuring every Authorized User it invites meets those requirements. We do not operate parental-consent infrastructure.
4. Accounts and Credentials
You must give accurate registration details and keep them current. You are responsible for safeguarding your credentials, including passwords, passkeys, and WebAuthn authenticators, and for all activity under your account.
Accounts are personal to the Authorized User and must not be shared. Notify us without delay at the address in Section 30 if you suspect unauthorised access. We may require a password reset or suspend an account where we reasonably believe it is compromised.
5. Tenant Workspaces and Customer Control
The Service is multi-tenant. Each Customer receives a logically isolated workspace and is solely responsible for administering it: creating and removing Authorized Users, assigning roles and permissions, and configuring the modules it enables.
The Customer is responsible for all activity in its workspace, including that of its Authorized Users, and for revoking access promptly when a person's role ends.
6. Subscriptions, Trials, and Renewal
Access requires an active subscription. Available features, user seats, and usage limits depend on the plan. Paid subscriptions renew automatically, for the same term (monthly or yearly) and at the price shown at purchase unless we have given notice of a change under Section 7, until cancelled. The price, the billing frequency and these renewal terms are shown next to the purchase button, and you confirm them before paying.
Before an automatic renewal we send the notice the law of your region requires — for example, between 15 and 45 days before an annual term renews for Customers in California, and before each recurring card charge in India — stating the renewal date and the amount.
You can cancel at any time from Billing & Plans in the Service, with one confirmation and without having to contact us. Cancellation stops the next renewal; you keep access until the end of the term already paid for, and you can undo the cancellation until then.
We may offer a free trial, typically 30 days. No payment is taken during a trial and it does not turn into a paid subscription unless you choose a plan; we remind you before it ends. A trial is provided as-is, may omit features, and may be withdrawn or shortened. Unless you convert to a paid plan before it ends, access will be suspended and the workspace treated under Section 27.
Where a consumer or small-business cancellation right applies by mandatory law, nothing in these Terms limits it.
7. Fees, Billing, and Taxes
Subscription fees are payable in advance in the currency stated at purchase and are processed by our payment provider; we never see or store your full card number. Fees are non-refundable except where mandatory law requires otherwise, your commercial agreement says so, or the Refund & Cancellation Policy at /refund-policy provides for a refund.
We may change fees for a renewal term on at least 30 days' notice before that term begins. If you do not accept a change, you may decline renewal.
Fees are exclusive of VAT, GST, sales tax, and other levies, which you are responsible for, other than taxes on TECHSHAN's net income. Where you are required to withhold tax, the amount payable to us is grossed up so we receive the full fee.
Overdue amounts may accrue interest at the lower of 1.5% per month and the maximum permitted by law, and we may suspend access under Section 27 after giving notice.
8. Payment Processing for Your Own Transactions
The Service lets a Customer connect a payment provider — such as Stripe, Fonepay, Khalti, or eSewa — to take money from its own shoppers, in store, online, or through Tap to Pay on a mobile device.
For those transactions the Customer is the merchant of record. The Customer contracts directly with the provider, is bound by that provider's terms, and is responsible for settlement, chargebacks, refunds, fraud losses, and compliance with card-scheme rules and PCI DSS. TECHSHAN is not a party to those transactions, does not hold Customer funds, and is not a payment institution or money transmitter.
TECHSHAN does not store full card numbers, magnetic-stripe or chip data, or card verification values. Where a card is saved for reuse we store only the provider's token with the brand and last four digits.
9. Online Store and Marketplace
A Customer may use the Service to operate a public storefront and to list on the marketplace. The Customer is the seller and is solely responsible for what it sells and how.
That responsibility includes: the accuracy of listings, pricing, and stock availability; its own consumer-facing terms, returns, refunds, cancellation, and warranty policies; consumer protection, distance-selling, and e-commerce disclosure law; product safety, labelling, and any licensing its goods require; delivery and fulfilment; and the correct calculation and remittance of tax.
TECHSHAN provides the software. We are not the seller, we are not party to the contract between a Customer and its shopper, and we do not mediate disputes between them. We may remove listings or suspend a storefront that we reasonably believe is unlawful, infringing, or in breach of Section 15.
10. Digital Products and Entitlements
Where a Customer sells digital goods, the Service issues an entitlement to the purchaser, delivers the item to a nominated email address, and records each access, including the IP address and the volume served, to enforce the licence and detect abuse.
Access limits, expiry, and revocation on refund or chargeback are enforced as configured. The Customer is responsible for holding the rights to everything it distributes and for honouring any statutory right of withdrawal that applies to digital content in its market.
11. Workforce and Attendance Features
The Service includes attendance, shift, and payroll features. These process information about identifiable workers and are regulated in most jurisdictions.
A Customer that enables them is responsible for having a lawful basis, for giving workers the notice their law requires, and for completing any consultation, impact assessment, or works-council process that applies. Geofencing is off by default; enabling it records a worker's location at each clock-in. Biometric identification, where a Customer uses a terminal that supports it, is subject to specific consent and notice laws in several jurisdictions, including EU member states and certain US states.
TECHSHAN does not receive or store biometric templates; attendance credentials are stored only as cryptographic hashes. The Customer remains the controller for all workforce processing and indemnifies TECHSHAN under Section 24 for claims arising from monitoring it configured.
12. Ownership of Customer Data
The Customer owns its Customer Data. Nothing in these Terms transfers that ownership.
The Customer grants TECHSHAN a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, back up, and otherwise process Customer Data solely to provide, secure, support, and maintain the Service, and to comply with law. The licence ends when the data is deleted under Section 26, except for copies in backups until they expire on their normal rotation.
We do not use Customer Data to train our own models, and we do not sell it or disclose it for anyone else's purposes.
13. Data Protection and Privacy
Our processing is described in the Global Privacy Policy, which forms part of these Terms.
For Customer Data, the Customer is the controller and TECHSHAN is the processor. We process Customer Data only on the Customer's documented instructions — the functions of the Service and any written direction — and we impose confidentiality on personnel with access, apply the security measures described in the Privacy Policy, engage subprocessors only under equivalent written terms and remain liable for them, assist the Customer with data subject requests, impact assessments, and breach notification, and delete or return Customer Data at the end of the agreement subject to legal retention.
Where the GDPR applies, these commitments are given on the terms required by Article 28. A separate data processing agreement is available on request and prevails over this Section where it conflicts.
14. Customer Warranties
The Customer warrants that it has the rights, authority, and lawful basis to submit Customer Data to the Service and to have it processed as the Service processes it, including information about employees, payroll, tax, suppliers, and shoppers.
The Customer warrants that it will give any privacy notice, and obtain any consent, that its law requires, and that its use of the Service complies with applicable law, including employment, consumer protection, tax, export control, and sanctions law.
15. Acceptable Use
You must not misuse the Service. The Acceptable Use Policy at /acceptable-use sets out these rules in full, including what may be sold through a storefront, and forms part of these Terms. In summary, the following are prohibited:
- Unlawful, fraudulent, or infringing activity, or selling goods you are not licensed to sell.
- Uploading malware, destructive payloads, or content designed to exhaust or damage the platform.
- Attempting to defeat tenant isolation, access controls, authentication, rate limits, or the append-only audit log, or accessing another Customer's workspace.
- Security testing, penetration testing, or automated scraping without our prior written consent.
- Reverse engineering, decompiling, or copying the Service except to the extent mandatory law permits, and reselling or white-labelling the Service without a written agreement.
- Using the Service to send unsolicited messages in breach of anti-spam law, or to process special-category data in fields not designed for it.
- Falsifying accounting, stock, tax, or attendance records, or using the Service to conceal or facilitate such falsification.
16. Security Responsibilities
We apply the safeguards described in the Privacy Policy, including encryption in transit, encryption at rest for stored payment credentials, role-based access control, tenant isolation enforced in the database, audit logging, and regular backups with point-in-time recovery.
You are responsible for credential hygiene, for enabling the authentication controls appropriate to your risk, for configuring permissions correctly, for securing the devices on which the Service runs, and for the physical security of POS and attendance terminals you deploy. No service is immune to compromise and we do not warrant that it is.
17. APIs, Integrations, and Third-Party Services
The REST API is subject to authentication, rate limiting, and fair-use constraints. You must keep API credentials secret and rotate them when compromised. We may throttle or revoke access on abuse, excessive load, or credible security threat, and will restore it once resolved.
The Service can connect to third-party services including cloud storage, messaging and SMS providers, mail servers, payment gateways, and AI providers. Those services are supplied by their own operators on their own terms. We do not control them, do not warrant their availability or accuracy, and are not liable for their acts, outages, pricing, or discontinuation. Connecting one is the Customer's decision and instruction.
We may change or deprecate API endpoints. Where a change is breaking, we will give reasonable advance notice and, where practical, a migration path.
18. AI-Assisted Features
AI features are optional and off until a Customer's administrator enables them and supplies provider credentials. When invoked, the relevant prompt and context are sent to the chosen provider.
The Customer chooses the provider and is responsible for reviewing its terms, including whether submitted content may be retained or used for training, and for having the right to transmit the information.
AI output is generated automatically and may be incomplete, inaccurate, or fabricated. It is a suggestion, not advice, and must be reviewed by a competent person before being relied on — particularly for accounting, tax, stock valuation, pricing, or employment decisions. TECHSHAN gives no warranty as to AI output and is not liable for decisions taken on it.
19. Mobile, Desktop, and Offline Use
The mobile and desktop applications may cache records and queue work locally so that trading continues when connectivity is lost, and synchronise when it returns.
You are responsible for securing devices holding that cache and for ensuring queued work is synchronised. Where the same record is changed in two places before syncing, the Service resolves the conflict according to its documented rules, which may not match your intention; you should review synchronised results. We are not liable for loss arising from work queued on a device that is lost, wiped, or never reconnected.
Application stores impose their own terms on the distribution of the mobile application, which apply in addition to these Terms.
20. Intellectual Property
TECHSHAN and its licensors retain all intellectual property in the Service, including its software, source code, APIs, interfaces, designs, documentation, and trademarks. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription, for your internal business purposes.
No rights are granted by implication. You must not remove proprietary notices or use TECHSHAN's marks without written permission.
You are responsible for having the rights to everything you publish through a storefront or the marketplace — product images, descriptions, e-books and other digital goods. We respond to notices of infringement and other unlawful content under the Copyright & Content Policy at /copyright: we may remove or disable access to reported content, tell you why, consider your counter-notice, and suspend the storefront of a repeat infringer.
21. Feedback
If you send suggestions or feature requests, you grant TECHSHAN a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you. This does not affect your ownership of Customer Data or give us any right to it.
22. Confidentiality
Each party will protect the other's non-public business, technical, and commercial information with at least reasonable care and use it only for the agreement's purposes.
These obligations do not apply to information that is or becomes public without breach, was already known free of obligation, is independently developed, or is lawfully received from a third party. A party compelled to disclose by law may do so, giving the other prior notice where legally permitted.
23. Service Availability and Support
We aim to keep the Service available and reliable, but it is provided on an as-available basis without an uptime guarantee unless your commercial agreement contains a service level agreement.
Access may be interrupted by scheduled maintenance, for which we will give reasonable notice where practical, by emergency patching, or by failures in third-party infrastructure. Support is provided through the channels and within the hours stated in your plan.
24. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND TECHSHAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NEVER BE LOST.
The Service is a record-keeping tool. It is not accounting, tax, legal, or professional advice, and its outputs — including tax computations, valuations, and statutory reports — must be reviewed by a qualified person before being filed or relied on. The Customer remains responsible for the accuracy of its own books and filings.
The Service is not a medical device and does not diagnose, treat, cure, or prevent any medical condition, and nothing in it is medical advice. Prescription, dispensing and eye-test records are kept by the Customer under its own professional responsibility; anyone with a health concern should consult a qualified healthcare professional.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for fraud, or for any liability under mandatory consumer law.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY.
Each party's total aggregate liability arising out of or relating to the agreement is limited to the fees paid or payable by the Customer to TECHSHAN in the twelve months preceding the event giving rise to the claim, unless a different cap is set in a signed commercial agreement.
These limits do not apply to the Customer's obligation to pay fees, to either party's breach of Section 22, or to liability that cannot lawfully be limited under Section 24.
26. Indemnification
The Customer will indemnify and hold TECHSHAN harmless against third-party claims, damages, and reasonable costs arising from: its Customer Data or its lack of rights or lawful basis to process it; its sales to shoppers, including product, consumer-protection, and tax claims; its workforce monitoring configuration; its use of the Service in breach of Section 15 or of applicable law; and its own or its Authorized Users' unlawful acts.
TECHSHAN will indemnify the Customer against third-party claims that the Service as supplied infringes that party's intellectual property, provided the Customer notifies us promptly, gives us control of the defence, and cooperates. We may procure a right to continue, modify the Service, or terminate and refund fees for the unused term. This does not apply to claims arising from Customer Data, from combination with anything we did not supply, or from use in breach of these Terms.
27. Suspension, Termination, and Data After Termination
We may suspend access, with notice where practical and immediately where not, for material breach, non-payment after notice, a credible security threat, or a legal requirement. We will restore access once the cause is resolved.
The Customer may cancel effective at the end of the current term. Either party may terminate for material breach not cured within 30 days of written notice, or immediately on the other's insolvency.
On termination the workspace is suspended rather than erased, preserving accounting integrity, pending offline synchronisation, and audit history. The Customer should export its records before terminating and may request an export during the suspension window. Thereafter, deletion proceeds on request or at the end of the retention period described in the Privacy Policy, subject to tax, accounting, and employment retention obligations, and to copies persisting in backups until they expire.
28. Changes to These Terms
We may update these Terms as the Service or the law changes. For material changes we will give at least 30 days' notice in the Service or by email before they take effect.
We will ask you to accept a revised version the next time you sign in, and record your acceptance. If you do not accept a material change, you may terminate before it takes effect and receive a pro-rata refund of fees prepaid for the unused term. Where the law requires explicit consent, we will seek it rather than infer it from continued use.
29. Governing Law and Disputes
The governing law and forum are those set out in your signed commercial agreement. In the absence of one, these Terms are governed by the laws of Nepal, and the courts of Kathmandu have exclusive jurisdiction — without depriving you of the protection of mandatory laws of your own country of residence or establishment that cannot be derogated from by contract, or of the right to bring proceedings there where your law grants it.
Before commencing proceedings, each party will attempt in good faith to resolve the dispute by negotiation for 30 days after written notice. Nothing prevents either party from seeking urgent injunctive relief, or a Customer from complaining to its data protection authority.
30. General Provisions and Contact
These Terms, the Privacy Policy, and any order form or signed commercial agreement are the entire agreement between the parties and supersede prior discussions. If a provision is held unenforceable, it is severed and the rest continues. Failure to enforce a provision is not a waiver of it.
Neither party is liable for failure to perform caused by events beyond its reasonable control, except for payment obligations. You may not assign the agreement without our written consent; we may assign it to an affiliate or to a successor in a merger or sale of assets. There are no third-party beneficiaries. Notices to TECHSHAN must be sent to [email protected], and notices to you will be sent to your registered account email.
For legal notices, billing questions, or questions about these Terms, contact [email protected].
These Terms describe the contractual basis on which the TECHSHAN-IMS platform is provided. They are a template for this product and are not legal advice; a signed commercial agreement, where one exists, prevails over them.
